Rostelecom cancels 3.53% ordinary and 13.7% preferred shares

Moscow, Russia – October 1, 2015 – Rostelecom PJSC (“the Company”) (MOEX: RTKM, RTKMP; OTCQX: ROSYY), Russia’s national telecommunications operator, today announces that 3.53% of its ordinary shares, representing 94,289,347 shares, and 13.7% of its preferred shares, representing 33,266,322 shares, have been cancelled.

Following the cancellation, Rostelecom’s equity capital stood at RUB 6,961,200.2525 or 2,784,480,101 shares, comprising:

  • 2,574,914,954 ordinary shares;
  • 209,565,147 class A preferred shares.

On June 15, 2015, the Annual General Meeting of Shareholders (“AGM”) gave approval for reducing the Company’s share capital through the cancellation of the remaining treasury shares. At the beginning of 2014, the cancelled treasury shares were bought back by the Company as part of the demerger of Rostelecom’s integrated mobile assets into its subsidiary CJSC RT-Mobile.

The cancellation has proportionally increased all shareholders’ stake in Rostelecom, with the state (together with VEB) owning a total of 52.99% of ordinary shares, and LLC MOBITEL’s stake amounting to 15.06% of ordinary and 30.79% of preferred shares.
